vePortal, LLC
holds the right to change/modify these terms by an addendum,
which has been agreed to by vendor, with 30 days notice
given to users/clients by posting the addendum publicly at
this same location. By purchasing any vePortal, LLC product
or service you are bound to these terms of purchase/service.
License Types, Terms & Entitlements:
- Free
Trial Licenses
These last for a specified amount of days, to the second
that you apply. Trial licenses are non-transferable
however the IP Address can be changed. Trial licenses
are limited to ONE per user/person/company.

Monthly Lease
A monthly leased license is a single server license,
which can only be installed on one single server, and
expires in 30 days if renewal payment is not rendered.

Yearly Lease
A yearly leased license is a single server license,
which can only be installed on one single server, and
expires in 365 days if renewal payment is not rendered.
- Owned
License
An owned licenses is a single server license, which can
only be installed on
one single server, and does not expire. Owned Licenses
maybe transfered to any vePortal Account in Good
Standing.
License
Support
All license types receive full support, within
reasonable limitations, however, paid licenses will
obviously receive priority over any Free/Trial licenses.
Pricing & Specials
All special offers set forward by vePortal, LLC are
extended for the life of the license, unless stated
otherwise in special offer details. If you allow your
license to expire, there will be no way of
recovering/restoring a past special offer price. All
vePortal, LLC pricing is final. Discounts only apply to
Resellers, Partners, and/or Distributors, or in the
event of a Special Offer discount. The software purchase
price may include product updates and new releases at
the sole discretion of the vePortal, LLC, and vePortal,
LLC reserves the right to determine when a new release
is substantial enough to require the payment of an
upgrade fee or a higher ongoing/monthly rate.
Account Holders / Multiple Account Holders
We permit only ONE vePortal, LLC billing/support/client
account per person/user/entity, unless specifically
granted otherwise. Any client found to be holding more
than one account without prior permission (i.e. for
multi-business owners), risks all accounts and vePortal,
LLC licenses being suspended. Authorized
Resellers/Partners/Distributors hold the right to have
two accounts: one account for resold licenses, and a
second account for their own internal usage.
Refunds
All sales at vePortal, LLC are final. Under no
circumstances will a sale be refunded. Licenses are
provided for the set period and will expire when the
expiration date is reached. Extensions maybe granted to
licenses in the unlikely event that there is something
caused by vePortal, LLC preventing you from using your
license/software.
Cancellation
Cancellation is required to be completed via the same
method as the license was ordered: via the vePortal, LLC
Client Area (billing/ordering systems), located online
(http://clients.veportal.com). Cancellation is not
accepted via any other method, including, but not
limited to; email, postal mail, phone, fax, or instant
message. This policy is necessary for security purposes,
as well as the automation of our system process. In the
event of the vePortal, LLC Client Area being
inaccessible, or you are unable to access such, you may
send an email to billing@veportal.com with the time and
date of the issue, which will be recorded/documented as
a support ticket. You may then place the cancellation
thru the proper method once you can access such,
reference the support ticket number obtained from your
email, and your cancellation effective date will be
adjusted manually based on the support ticket submission
time/date.
Loss of Data & User Responsibility
We highly recommend that as with any software
installation, you have a backup solution in place. Under
no circumstances will vePortal, LLC be held responsible
for loss or corruption of data.
Abuse to the vePortal, LLC Facilities
Any attempt to deny our users service, be it license
servers, the vePortal, LLC website, or vePortal, LLC
facilities, will be followed by legal action of the
highest level. This includes spam on the vePortal, LLC
Forums, Community, & Support pages.
Payment of Service
Invoicing and payment methods are in place and available
via the Client Area (http://clients.veportal.com).
Payments should be made 1-2 days before your expiration
date at the latest to ensure your license key does not
expire, and has time to properly renew. Invoices will be
considered overdue if not paid by the start of the new
renewal period. All overdue invoices will incur a
1.5%/month (18%/annum) interest charge. Bounced checks
and chargebacks (credit card or Paypal/AlertPay/2CO)
will incur a US$30.00 administration fee, and immediate
license/service suspension, and require full payment of
all overdue invoices and administrative fees prior to
service reactivation.
Special Licenses
If your pricing and term agreement provides for a Trial
License, you may only use the software to review and
evaluate the software during said trial period. If your
pricing and term agreement provides for an Educational
License, Non-Profit License or Trial License, you may
not use the Software for any commercial purposes.
Availability of these licenses is at the sole discretion
of vePortal, LLC and subject to change. vePortal, LLC
reserves the right to deny Non-Profit, Educational
Licenses, or Trial licenses to companies that promote,
host, or are associated with websites that violate or
discriminate against race, color, religious creed, sex,
national origin, ancestry, citizenship status,
pregnancy, childbirth, physical disability, mental
disability, age, military status or status as a
Vietnam-era or special disabled veteran, marital status,
registered domestic partner or civil union status,
gender (including sex stereotyping and gender identity
or expression), medical condition (including, but not
limited to, cancer related or HIV/AIDS related) or
sexual orientation.
Termination / Suspension
vePortal, LLC holds the right to terminate and/or
temporarily suspend/expire a vePortal, LLC license
without prior notice in the event of violation of these
terms, the End-User License Agreement (EULA), abuse of
vePortal, LLC facilities/systems, and/or non-payment of
licenses/services rendered. vePortal, LLC may withhold
issuing licenses on any additional orders placed on an
account, should the account be overdue on any single
license/invoice, or violate these terms, the EULA,
and/or abuse vePortal, LLC facilities/systems. vePortal,
LLC may suspend all licenses on the account, should a
single license be overdue on payment, or violate these
terms, the EULA, and/or abuse vePortal, LLC
facilities/systems.
End-User License Agreement
Purchaser agrees to be bound by the End-User License
Agreement (EULA) upon installation/activation of the
software and/or license.
Legal Venue
This agreement shall be governed by the laws of the
State of Delaware, United States, exclusive of its
conflicts of laws provisions. This agreement may be
modified by an addendum, which has been agreed to by
vendor, with 30 days notice given to users/clients by
posting the addendum publicly at this same location.
